Castellum överför 700 miljoner till aktieägarna genom inlösen

Anmälningsperioden för Castellums erbjudande om inlösen av aktier avslutades den 5 juli 2000. Erbjudandet omfattade inlösen av var sjunde aktie i Castellum till ett inlösenbelopp om 100 kronor per aktie. Enligt den slutliga sammanräkningen har 6 998 323 aktier anmälts för inlösen, vilket motsvarar 98,0 procent av det antal aktier som högst kunnat inlösas enligt erbjudandet. Detta innebär att 700 Mkr överförs till aktieägarna genom inlösen. Utbetalning av inlösenbeloppet, 100 kronor per aktie, beräknas kunna ske omkring den 8 augusti 2000, förutsatt att erforderliga registreringar skett av Patent- och Registreringsverket. Efter inlösen uppgår antalet registrerade A-aktier i Castellum till 43 001 677.

Återstående del av inlösen/återköpsprogrammet om totalt 1 000 Mkr kommer att genomföras i form av återköp av egna aktier för ett belopp om ca 300 Mkr. Bolagets återköp av egna aktier inleddes efter det att anmälningsperioden för inlösen avslutats och har till och med måndagen 10 juli pågått i tre handelsdagar. Hittills har 443 700 aktier återköpts för totalt 42 Mkr.

Castellum transfers SEK 700 million to its shareholders through share redemption

The application period for Castellum’s share redemption offer expired on July 5, 2000. Castellum offered to redeem every seventh share at a fixed redemption price of SEK 100 per share. According to the final count, applications were received for redemption of 6,998,323 shares. This corresponds to 98.0 per cent of the maximum number of shares that could be redeemed pursuant to the offer. That implies a transfer of SEK 700 million to the shareholders through the share redemption. The payment of the redemption amount of SEK 100 per share is expected to be effected around August 8, 2000; provided that the necessary registrations have been effected by the Swedish Patent and Registration Office. After the redemption the number of registered Series A shares in Castellum will amount to 43 001 677.

The remaining part of the share buy-back/redemption program of SEK 1,000 million will be executed through a repurchase of shares worth about SEK 300 million. The company´s repurchase of shares was started after the expiry of the application period for redemption and has been going on for three trading days including Monday July 10. So far, 443,700 shares have been repurchased for a total sum of SEK 42 million.
